ROC & MCA Compliance Checklist for Private Limited Companies in India
A clear corporate calendar outlining mandatory annual filings, board meetings, director KYC, and statutory registers for Indian companies.
Every individual holding a Director Identification Number (DIN) as on March 31 must complete DIR-3 KYC annually by September 30. Failure leads to DIN deactivation and a mandatory late filing fee of ₹5,000.
A private company must convene at least 4 board meetings each financial year, ensuring the interval between consecutive meetings does not exceed 120 days. Formal minute books and statutory registers (Register of Members MGT-1, Register of Directors MBP-4) must be maintained at the registered office.
The AGM must be held within 6 months of the close of the financial year (on or before September 30). The finalized financial statements, Director’s Report, and statutory appointments are formally adopted by the shareholders.
Post-AGM mandatory filings include;
- • Form AOC-4: Submission of finalized balance sheet and P&L statements within 30 days of the AGM.
- • Form MGT-7 / MGT-7A: Submission of company annual return within 60 days of the AGM.
- • Form MSME-1: Half-yearly reporting of outstanding vendor payments exceeding 45 days.
